All prices stated are net prices and are subject to the applicable statutory VAT, currently 19%.
By signing the order, the client commissions GreenSign with the certification GreenSign Hotel, GreenSign Gastro, GreenSign GV, GreenSign Office) The subject of the certification is the sustainability performance of the company business operated by the client . All contractual terms and conditions are set out in the following Terms and Conditions of Contract and in the General Terms and Conditions of GreenSign Institut GmbH attached to this contract, which can also be viewed at www.greensign.de/en/agb.
The certification cycle begins upon placing the order and consists of a self-assessment via a GreenSign online tool (hereinafter “online tool”), a preliminary certification assessment based on the self-assessment, a subsequent audit, and the certification decision including issuance of the certificate, as well as a certificate validity period of up to 3 years from the certification decision, but no longer than 3 years from the date of the order.
Within 5 working days after placing the order, the client will receive access to the online tool for the purpose of the self-assessment. The client will be guided through the certification process via the online tool. After completing the self-assessment and submitting the data collected, the client will receive a preliminary certification assessment.
In order for a certification decision to be made and a certificate to be issued, the self-assessment must be verified by an audit. Provided that the calculated license fees have been paid, GreenSign will conduct this audit within three months after completion of the self-assessment process. The audit procedure and the associated obligations to cooperate are set out in the attached General Terms and Conditions. To monitor the continued fulfillment of the self-assessment criteria, GreenSign conducts an annual surveillance audit, which may also be carried out remotely. The associated obligations to cooperate are likewise set out in the attached General Terms and Conditions. If further inspections become necessary due to incoming complaints, reported changes relevant to the certification decision, or similar circumstances requiring an audit, the audit services shall be borne by the client. Extraordinary audit services are charged at EUR 180 per hour and travel time at EUR 90 per hour.
The client or, if specified in the order, the company managed by the client receives a certificate of certification, an audit report and a sign for display if it has fulfilled the certification requirements. The certificate awarded by GreenSign is protected under EU trademark law (EUPIO No. 019262842 for GreenSign Hotel, EUPIO No. 019262847 for GreenSign Gastro, EUPIO No. 019262889 for GreenSign). The customer has the right to use the certificate for himself in his business for indoor and outdoor advertising, on business stationery and for other advertising measures on his own account for the duration of the certification validity against payment of the agreed license fees charged annually. The right to use the certification exists only for the assessed certification characteristics and the assessed businesses and/or parts of businesses. Further details are set out in the agreement on the use of GreenSign Institut GmbH marks. At the end of the certification cycle, this agreement shall be automatically extended for a further certification cycle if it is not terminated at least 6 months before the end of the respective term in text form. Upon renewal, a new certification cycle begins as described above. Notwithstanding the provisions of the first certification cycle, the client shall receive access to the online tool no later than 5 months before the certificate expires. The remuneration and license fees due for the new certification cycle are based on the price list published by GreenSign on the website at the time of the contract extension.
Upon transmission of the access data for the online tool, the license fee for the provision/use of the online tool and for the certificate to be issued for the first year becomes due and is invoiced with the first annual invoice. The license fee is payable within 14 days after dispatch of the invoice and is not dependent on whether or when the client completes the self-assessment. This also applies to subsequent license fees, which are invoiced annually. License fees for the provision/use of the online tool in the case of recertification are deemed settled for the period for which license fees were charged in the previous certification cycle. For conducting the audit and subsequent surveillance audits, GreenSign charges an audit fee for one certification cycle. Travel times of the auditor up to four hours (arrival and departure) are considered included. Travel times exceeding four hours are charged at EUR 90 per hour, and travel expenses incurred by the auditor (meal allowances in accordance with applicable tax rates, accommodation, and transportation costs) are charged based on actual expenses, but at least EUR 50. The choice of means of transport is at the auditor’s discretion. Rail travel is charged at first class for all train types. Travel by private car is charged at EUR 0.70 per kilometer. If the client cancels an agreed appointment, they are obliged to reimburse any already incurred and non-refundable travel expenses.
Should any provision of this contract be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come closest to the economic objective pursued by the parties with the invalid or unenforceable provision. The above provisions shall apply accordingly in the event that the contract proves to be incomplete.
