  • By signing the order, the client commissions GreenSign with the certification GreenSign Hotel) The subject of the certification is the sustainability performance of the hotel business operated by the client . All contractual terms and conditions are set out in the following Terms and Conditions of Contract and in the General Terms and Conditions of GreenSign Institut GmbH attached to this contract, which can also be viewed at www.greensign.de/agb.
  • The certification cycle, which consists of a self-disclosure via a GreenSign online tool (hereinafter online tool), a preliminary certification assessment after self-disclosure, a subsequent audit and the certification decision together with the issuing of the certificate as well as the certificate validity period of a maximum of 3 years after the certification decision and a maximum of 3 years after the issuing of the order, begins with the issuing of the order.
  • The client receives access to the online tool within 5 working days of placing the order for the purpose of self-disclosure. The client is guided through the certification process via the online tool. After completion of the self-disclosure by the client and transmission of the data collected through the self-disclosure, the client receives a preliminary certification assessment.
  • In order for a certification decision to be made and a certificate to be issued, the self-disclosure must be reviewed by means of an audit. GreenSign will carry out this audit within three months of completion of the self-disclosure process, provided that the license fees charged have been paid . The course of the audit and the associated obligations to cooperate are set out in the attached General Terms and Conditions. GreenSign annual carries out an monitoring audit, which can also be carried out remotely, to monitor whether the criteria have been metof the selfdisclosure process . The associated obligations to cooperate are also set out in the attached General Terms and Conditions. If further reviews become necessary due to incoming complaints, reported changes relevant to the certification decision or similar and require an audit, the audit services shall be by the customer borne. EUR 180.00 per hour and shall be charged for extraordinary audit activities EUR 90.00 per hour for travel time.
  • The client or, if specified in the order, the company managed by the client receives a certificate of certification, an audit report and a sign for display if it has fulfilled the certification requirements. The certificate awarded by GreenSign is protected under EU trademark law (No. 018895608 of December 26, 2023). The customer has the right to use the certificate for himself in his business for indoor and outdoor advertising, on business stationery and for other advertising measures on his own account for the duration of the certification validity against payment of the agreed license fees charged annually. The right to use the certification exists only for the assessed certification characteristics and the assessed businesses and/or parts of businesses. Further details are out setin the agreement on the use of GreenSign Institut GmbH marks. At the end of the certification cycle, this agreement shall be automatically extended for a further certification cycle if it is not terminated at least 6 months before the end of the respective term in text form. Upon renewal, a new certification cycle begins as described above. Notwithstanding the provisions of the first certification cycle, the client shall receive access to the online tool no later than 5 months before the certificate expires. The remuneration and license fees due for the new certification cycle are based on the price list published by GreenSign on the website at the time of the contract extension.
  • Upon transmission of the access data for the online tool, the license fee for the provision/use of the online tool and for the certificate to be issued for the first year shall be due and invoiced with the first annual invoice. The license fee is due for payment within 14 days of the invoice being sent and is not dependent on whether and when the client carries out the self-disclosure. This also applies to the following license fees, which are invoiced annually. License fees for the provision/use of the online tool for recertification are covered for the period for which license fees are charged for the previous certification cycle. GreenSign charges an audit fee for one certification cycle for the performance of the audit and the subsequent surveillance audits. Travel time of the auditor is considered to be compensated up to four hours (arrival and departure). Travel times exceeding four hours shall be charged at EUR 90.in the course of audits 00/hour and the travel costs incurred by the auditor for the performance of the audit (additional expenses for meals in accordance with the applicable tax rates, accommodation and travel costs incurred) shall be charged on a time and material basis, but at least EUR 50.00. The choice of means of transportation shall be at the discretion of GreenSign. The auditor reserves the right to choose the means of transportation. For rail travel, 1st class applies to all types of train. For journeys by car, EUR 0.70 per kilometer driven will be charged. If the client cancels an agreed appointment, he shall be obliged to reimburse the travel costs already incurred and not reimbursable.
  • Should individual provisions of this contract be invalid or unenforceable or become invalid or unenforceable after conclusion of the contract, this shall not affect the validity of the remainder of the contract. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come closest to the economic objective pursued by the contracting parties with the invalid or unenforceable provision. The above provisions shall apply accordingly in the event that the contract proves to be incomplete.
